1. Introduction
These Terms & Conditions (โTermsโ) govern access to and use of the ERP platform, services, and website operated by SYSGENPRO SOFTWARE PRIVATE LIMITED (โSysGenProโ, โweโ, โusโ, โourโ).
By accessing, subscribing to, or using the platform or related services, you agree to be bound by these Terms.
2. Platform Technology & Intellectual Property
The SysGenPro ERP platform is a managed enterprise software solution built using open-source technologies combined with proprietary modules, configurations, operational tooling, and service layers developed and maintained by SysGenPro.
All proprietary enhancements, frameworks, workflows, automation, and service methodologies remain the exclusive intellectual property of SysGenPro.
3. Nature of Services
SysGenPro provides access to an ERP platform on a subscription basis, along with optional professional services.
SysGenPro is a platform provider and does not operate as a manpower outsourcing, staff augmentation, or general IT services company.
4. ERP Platform Subscription
ERP subscriptions are billed annually and priced based on infrastructure capacity, not user count.
Unlimited users are permitted subject to fair usage, platform performance, and security policies.
Platform pricing is governed by SysGenPro policies and may be updated periodically.
5. Professional Services & Billing
Professional services such as implementation, customization, support, migration, training, and consulting are optional and billed separately.
Services may be billed as fixed-scope packages or at a standard hourly rate as communicated at the time of engagement.
6. Support & Maintenance
Support is available through annual support or maintenance plans where applicable.
Unless a separate Service Level Agreement (SLA) is executed, support is provided on a commercially reasonable, best-effort basis.
7. Implementation, Customization & Risk
ERP implementation and customization involve business and process decisions made by the customer.
SysGenPro is not responsible for losses resulting from incorrect configuration, misuse, or business decisions taken using the platform.
8. Updates & Version Policy
Security patches and minor updates are included as part of the subscription.
Major upgrades, migrations, or feature enhancements may require additional services and customer approval.
9. Data Ownership & Access
Customers retain full ownership of their business data. SysGenPro does not claim ownership of customer data.
Access to data is limited to service delivery, support, compliance, or legal obligations.
10. Partner & White-Label Engagements
Authorized partners may resell, implement, or white-label SysGenPro services under separate partner agreements.
Partners are independent entities and are not authorized to bind SysGenPro contractually or modify platform policies.
11. Limitation of Liability
To the maximum extent permitted by law, SysGenPro shall not be liable for indirect, incidental, or consequential damages.
SysGenProโs total liability shall not exceed the fees paid by the customer in the preceding twelve (12) months.
12. Suspension & Termination
SysGenPro may suspend or terminate access for non-payment, misuse, security risk, or violation of these Terms.

These Terms shall be governed by and construed in accordance with the laws of usa, unless otherwise agreed in writing.
